Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Elerion platform, available at elerion.ai and elerion.io, provided by Mylo Prime LLC ("Elerion", "we", "us", "our"). By accessing or using the service, you agree to be bound by these Terms. If you do not agree, do not use the service. If you use Elerion on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms, and "you" refers to that organisation.

Elerion is an AI-assisted online dispute-resolution and mediation platform. It provides tools including facilitated dialogue, offer and agreement drafting, secure caucus rooms, and optional session transcription. The AI is a facilitation aid only. It is not a lawyer, mediator, arbitrator, or judge, and Elerion is a software platform, not a law firm. We do not provide legal representation, legal advice, or guaranteed outcomes.

Content generated by Elerion, including drafted agreements, summaries, and suggested terms, is provided for convenience only and may contain errors or omissions. It does not constitute legal advice and does not create an attorney–client relationship between you and Elerion or Mylo Prime LLC. You are solely responsible for evaluating any output and for having any agreement or document reviewed by qualified counsel of your choosing before relying on, signing, or acting on it.

• You must be at least 18 years old and provide accurate, complete registration information.
• You are responsible for safeguarding your credentials and any magic-link or sign-in tokens, and for all activity that occurs under your account.
• You must notify us promptly of any unauthorised use of your account or any security concern.
• You may not share, sell, or transfer your account without our consent.

You agree not to:

• Use the service unlawfully or to infringe the rights of others.
• Attempt to defeat the confidentiality controls or access another party's caucus data or any data you are not authorised to access.
• Reverse engineer, decompile, disrupt, or overload the platform, or circumvent security controls.
• Upload malware, or unlawful, harassing, defamatory, or infringing content.
• Use automated means to scrape or extract data except as expressly permitted.
• Use the service to develop a competing product or to train competing AI models.

Elerion is designed to keep caucus communications private to the disclosing party and the mediator, using cryptographically separated rooms. You agree to respect the confidentiality of the mediation and not to misuse information obtained through it. Confidentiality obligations among the parties to a dispute may also be governed by any separate mediation or settlement agreement you enter into; nothing in these Terms overrides those obligations.

You retain ownership of the content you submit to the service. You grant us a limited, non-exclusive, worldwide licence to host, process, transmit, and display your content solely to provide and maintain the service. You are responsible for ensuring you have the rights necessary to submit your content. As between you and us, Elerion, the platform, and all related software, trademarks, and materials are owned by Mylo Prime LLC and its licensors, and no rights are granted except as expressly set out in these Terms.

Paid plans are billed as described at checkout or in your order, and recurring subscriptions renew automatically for successive periods until cancelled. Payments are processed by our payment processor, Stripe. Unless required by law or expressly stated otherwise, fees are non-refundable and there are no refunds or credits for partial periods. You authorise us to charge your selected payment method for applicable fees and taxes. We may change pricing for future billing periods on reasonable notice; the new price applies on your next renewal. You may cancel a subscription at any time, and cancellation takes effect at the end of the then-current billing period.

The service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free, or that the AI's output will be accurate, complete, or suitable for any particular dispute or purpose.

To the maximum extent permitted by applicable law, Elerion and Mylo Prime LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the service. The aggregate liability of Elerion and Mylo Prime LLC for all claims arising out of or related to the service will be limited to a capped amount to be confirmed by counsel (commonly tied to the fees you paid for the service in a defined period before the claim). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

To the extent permitted by law, you agree to indemnify and hold harmless Elerion and Mylo Prime LLC from and against claims, damages, liabilities, and reasonable expenses arising out of your misuse of the service, your content, or your breach of these Terms.

We may suspend or terminate your access to the service if you breach these Terms, if required to protect the service or other users, or as otherwise permitted by law. You may stop using Elerion at any time. Upon termination, your right to use the service ceases. Provisions that by their nature should survive termination — including ownership, disclaimers, limitations of liability, indemnification, and governing law — will survive.

These Terms, and any dispute arising out of or relating to them or the service, will be governed by the laws of the governing jurisdiction to be specified by counsel (typically the state in which Mylo Prime LLC is organised), without regard to conflict-of-laws principles. The forum for disputes, and whether any disputes are resolved by the courts of that jurisdiction or by arbitration, should be determined and finalised by counsel before launch. Nothing in this section limits any mandatory consumer-protection rights available to you in your country or state of residence.

We may update these Terms from time to time and will revise the effective date above. If we make material changes, we will provide notice through the service or by email where appropriate. Your continued use of the service after the changes take effect constitutes acceptance of the revised Terms.
